Following a competitive process, DDA & Company advised on the reorganisation of Castor & Pollux’ capital.
Founded in 2010 by Stéphane Clousier and Julien Cocquerel, Castor & Pollux capitalizes on more than 12 years of experience in communications to assist its clients in the design and implementation of their digital transformation. As part of the operation, the two founders are taking a step back from the operational side and handing over the management of the company to their team. On this occasion, a new management team consisting of Lucille Pheulpin (former CFO) and Elodie Denaeyer (former Deputy CEO) was put in place.
The MBO (Management Buy-Out) is supported by OMNES Capital’s private debt team for the mezzanine debt and by Crédit Mutuelle de Bretagne, Castor & Pollux’s historical bank, for the senior debt.
Stéphane Clousier, Founder and former CEO of Castor & Pollux, said: “DDA & Company supported us in the reorganisation of the capital by finding, with Omnes, a financial partner capable of supporting the new managers in their development plan. This handover project was made possible thanks to DDA’s active listening and proactivity in advising us and federating the various stakeholders.”
Lucille Pheulpin, New CEO of Castor & Pollux “We are very happy to have chosen DDA & Company to accompany us in this process. Thanks to their expertise, we were lucky enough to meet OMNES Capital, who immediately understood our challenges and shared our vision of entrepreneurship. We also share common values that will allow Castor & Pollux to continue to grow independently but with the help of a solid financial partner capable of supporting our desire for growth.”
Benoit Faguer, Partner at OMNES Capital, added: “Convinced by the expertise and cohesion of the teams, we are very pleased to accompany Castor & Pollux and its management team in this new phase, and to allow certain key executives to significantly increase their equity stake.
DDA & Company’s team, composed of Alain Sitbon, Victor Humberdot and Florian Charrière, advised the founders of Castor & Pollux in this operation. This operation once again reflects DDA & Company’s expertise in the communication sector and its ability to orchestrate leverage transactions.
